The rules that govern your use of Wedge.

ARTICLE 01

Purpose and acceptance

These Terms govern access to and use of the Wedge app. By creating an account, requesting a payment or using the service, you accept these Terms and the policies incorporated into them.

If you do not accept these Terms, you must not use Wedge.

ARTICLE 02

Nature of the service

Wedge is a technology app that lets a user start a payment from a crypto-asset so that a recipient receives, where the transaction is available and validated, an amount in local currency on a mobile money account.

Wedge is not a bank. Wedge provides no bank account, does not guarantee the value of any crypto-asset, and gives no financial, tax or investment advice. Payment, conversion, verification and transfer services may be carried out by third-party providers authorised or licensed in their respective jurisdictions.

ARTICLE 03

Eligibility and account

You must have the legal capacity to contract and meet the minimum age applicable in your country. You must provide accurate, complete and up-to-date information, and protect access to your device, your wallet and your Wedge account.

We may request additional information or documents where the law, the amount, the risk profile or a regulated provider requires it.

ARTICLE 04

How a transaction unfolds

Before you confirm, Wedge shows the crypto-asset to be paid, the indicative or firm amount depending on the screen, the applicable fees and the amount intended for the recipient. A quote may expire if it is not confirmed within the time shown.

A confirmed crypto transaction may be irreversible. You must check the network, the asset, the amount and the recipient's mobile money number. Wedge is not liable for a data-entry error attributable to the user where the funds can no longer be recovered.

ARTICLE 05

Fees, rates and limits

The applicable fees, rates, limits and timeframes are communicated before confirmation or in the app. They may vary depending on the crypto-asset, the network, the country, the provider, the mobile money operator and market conditions.

The amounts shown before confirmation prevail for the transaction concerned, subject to manifest error, technical unavailability or a legal requirement.

ARTICLE 06

Checks and compliance

Wedge and its providers may apply identity, sanctions, fraud, source-of-funds, anti-money-laundering and counter-terrorist-financing checks. A transaction may be delayed, refused, limited, cancelled or reported where a check, the law or a competent authority requires it.

You agree to answer verification requests accurately. Artificially splitting transactions to avoid a threshold or a check is prohibited.

ARTICLE 07

Prohibited uses

  • Using Wedge for any illegal, fraudulent or deceptive activity.
  • Using funds deriving from an offence or intended for a sanctioned person.
  • Impersonating someone, circumventing a control or exploiting a vulnerability.
  • Paying for goods or services prohibited by law or by our Acceptable Use Policy.
  • Using a third party's account without authorisation, or reselling the service without written agreement.
ARTICLE 08

Availability and third-party providers

Availability depends in particular on blockchains, wallets, mobile money operators, communication networks and third-party providers. Wedge does not guarantee permanent or error-free operation.

We may suspend a feature for maintenance, security, compliance or provider unavailability. We will make reasonable efforts to inform users where possible.

ARTICLE 09

Cancellation, failure and refund

A crypto transaction already broadcast or confirmed on a blockchain generally cannot be cancelled. If the mobile money credit fails, Wedge will work with its providers to find a retry, a refund or an equivalent solution where technically and legally possible.

Any refund may be made using the method, asset, rate or amount determined by the applicable technical and regulatory constraints, after deducting non-recoverable network fees where the law allows.

ARTICLE 10

Liability

To the extent permitted by law, Wedge is not liable for price variations, losses linked to the user's wallet, network or address errors, external outages, decisions of an operator or an authority, or indirect damages.

Nothing limits liability that cannot lawfully be excluded. Mandatory consumer rights in your jurisdiction continue to apply.

ARTICLE 11

Suspension and closure

We may limit, suspend or close access in the event of a breach of these Terms, a fraud or security risk, a legal obligation, a request from a regulated provider or an authority, or where continuing the service creates excessive risk.

ARTICLE 12

Changes and governing law

We may amend these Terms to reflect changes in the service, the law or our risks. A material change will be brought to your attention by reasonable means before it takes effect where the law requires it.

The governing law and competent courts are determined by the applicable contractual documents, the place of establishment of the entity providing the service, and mandatory consumer-protection rules.

ARTICLE 13

Contact

For any question or complaint: contact@wedge.money. Give the reference of the transaction concerned without ever sharing your recovery phrase, your private key or your password.

ARTICLE 14

Definitions

In these Terms, “Wedge” means the app and services published by Rollo Technologies Inc.; “User” means the person who starts a transaction; “Recipient” means the person whose mobile money account is to be credited; “Provider” means any third-party firm involved in performing the service.

ARTICLE 15

When the contract takes effect

The contract takes effect on first acceptance of the Terms or on first use of the service. Each transaction is a separate instruction, governed by the version of the Terms and the pricing information displayed at the moment it is confirmed.

ARTICLE 16

Territories served

Wedge may be available in certain countries only. The presence of the site in a language, or the display of a country, does not guarantee that a transaction is permitted there. Actual availability is shown in the app and may depend on the location of both the user and the recipient.

ARTICLE 17

No custody of crypto-assets

Unless expressly stated otherwise in a future feature, Wedge provides no custodial wallet and does not hold the user's private keys. The user pays from an external wallet for which they remain solely responsible.

ARTICLE 18

No deposit account

Displaying an amount, a history or a status in Wedge does not constitute a deposit account. Funds carry no deposit insurance or guarantee, except protection expressly provided by a regulated provider and identified as such.

ARTICLE 19

Payment instructions

An instruction is deemed received only after technical validation and, where necessary, receipt of the expected crypto-asset. Wedge may refuse an instruction that is incomplete, inconsistent, expired or incompatible with the recipient's limits.

ARTICLE 20

Accuracy of recipient details

The user must obtain the recipient's consent and check their number, country, operator and identity. Any name shown is an aid and does not replace that check. A discrepancy must lead the user to stop the transaction.

ARTICLE 21

Purpose of the payment

Wedge may ask for the economic purpose of a transaction and the corresponding evidence. The user warrants that the payment concerns a lawful activity and does not conceal the actual recipient, the origin of the funds, or the nature of the goods and services concerned.

ARTICLE 22

Indicative timeframes

Any estimated timeframe is indicative, unless an express commitment is shown for a given transaction. Blockchain confirmations, compliance checks, maintenance windows and mobile money operator processing may change it.

ARTICLE 23

Complaints

A complaint must be sent without delay to contact@wedge.money with the transaction reference, the amount, the date and a precise description. The user must cooperate with the investigation and keep any useful evidence. Mandatory statutory time limits continue to apply.

ARTICLE 24

Unclaimed or blocked transactions

Where a payment cannot be completed or refunded because of missing information, a legal prohibition or a lack of cooperation, the amounts concerned may remain blocked with a provider until the matter is resolved, an authority decides, or the applicable statutory period expires.

ARTICLE 25

Taxes and reporting

The user is responsible for determining and settling the taxes, duties or reporting obligations relating to their crypto-assets and payments. Wedge may provide a history, but does not prepare or validate the user's tax returns.

ARTICLE 26

Electronic communications

The user agrees to receive electronically the confirmations, security alerts, legal notices and communications necessary for the service. They must maintain a valid email address and phone number and regularly check the messages linked to their account.

ARTICLE 27

Security and authentication

The user must use a secure device, protect their codes and enable the authentication measures offered. Any transaction carried out after valid authentication may be presumed authorised, subject to mandatory rules protecting against fraudulent transactions.

ARTICLE 28

Ownership and licence to use

Wedge grants a personal, limited, revocable, non-exclusive and non-transferable licence to use the app in accordance with these Terms. No right over the code, the brand, the designs or the content is transferred to the user.

ARTICLE 29

Assignment and subcontracting

The user may not assign their rights or obligations without written agreement. Wedge may entrust certain functions to competent providers or transfer the contract as part of a reorganisation, subject to informing the user where the law requires it.

ARTICLE 30

Entire agreement, severability and waiver

The Terms and the policies incorporated into them constitute the agreement applicable to the service. If a clause is invalid, the others remain in force and the clause is interpreted as closely as possible to its lawful purpose. Failure to exercise a right is not a waiver of it.

The regulated services needed for payments, conversions and payouts are provided with the help of firms authorised or licensed in their respective jurisdictions, depending on country and availability.
